Welcome to batuly ("the Service," "Platform," or "Product"), a cloud-based Business Operating System developed and operated by Byte Encoder Pvt. Ltd., a legally registered company in Nepal ("we," "us," "our").

By creating an account, accessing, or using the Platform, you ("User," "Merchant," or "Expert") agree to be bound by these Master Terms and Conditions. If you do not agree to these terms, you may not use the Service.

# 1. Applicability of Services

Batuly offers distinct services. The terms that apply to you depend on how you use the platform:

Full POS & Inventory Users: If you utilize the business management, point-of-sale, and inventory tools, all sections of these Terms apply to you, specifically including the Financial and Tax Disclaimers (Section 4).

Community-Only Users: If you register solely to use the Batuly Community (as an Expert or general member) without activating a POS dashboard, you are bound only by the sections pertaining to Account Security, Community Guidelines, Data Ownership, and General Limitations of Liability.

# 2. Account Security & Electronic Transactions

In accordance with the Electronic Transactions Act 2063, you are responsible for maintaining the security of your account credentials and OTP (One-Time Password) access.

  • You agree to provide accurate and truthful business information during registration.
  • You are entirely responsible for all activities, data entries, and transactions that occur under your account.
  • Byte Encoder will never ask for your password or use OTP access to impersonate you without explicit, documented consent for technical support.
# 3. Data Ownership & Intellectual Property
  • Your Data: You retain full ownership of all business data, inventory lists, ledgers, and financial records you enter into Batuly. Byte Encoder claims no ownership over your proprietary business information.
  • Our Intellectual Property: All software, code, UI/UX designs, branding, and proprietary algorithms within Batuly are the exclusive intellectual property of Byte Encoder Pvt. Ltd. You may not copy, reverse-engineer, resell, or distribute the software.
# 4. Financial, Tax, and Statutory Compliance (Important Disclaimer)

Batuly provides tools for internal business efficiency, inventory tracking, and operational management.

  • Internal Management Tool: Unless explicitly stated otherwise via an official integration module, Batuly is NOT directly integrated with the Inland Revenue Department’s (IRD) Centralized Billing Management System (CBMS).
  • Receipts & Estimates: Documents generated by Batuly (including receipts, bills, and purchase orders) are for internal operational and ledger-tracking purposes. They do not constitute official statutory "Tax Invoices" under Nepal law unless your business is legally authorized to use them as such or you file them independently.
  • Sole User Responsibility: You are 100% legally and financially responsible for ensuring your business complies with all local and national tax laws, including VAT, PAN, and income reporting. Byte Encoder Pvt. Ltd. accepts zero liability for any tax audits, penalties, fines, or legal actions brought against your business by the IRD or any governing body.
# 5. Batuly Community & B2B Network Guidelines

The Batuly Community is a feature allowing users to connect with verified professionals and other business owners.

No Mediator Liability: Batuly acts strictly as a directory and networking platform. We do not mediate, guarantee, or take responsibility for the quality of services provided by third-party "Experts" (e.g., CAs, digital marketers) listed in the Community.

Independent Contracting: Any agreements, payments, or contracts made between you and an Expert found on Batuly are strictly between the two independent parties. Byte Encoder holds no liability for financial losses, scams, or unfulfilled services.

Prohibited Conduct: Users may not post spam, solicitations outside designated areas, fraudulent claims, or malicious content. We reserve the right to revoke Community access and remove "Expert" badges at our sole discretion.

# 6. Subscriptions and Payments

Fees: Access to Batuly’s premium POS features requires a paid subscription (e.g., Rs. 1,695/month). Pricing is subject to change with prior notice.

Non-Refundable: All subscription payments are final and non-refundable unless legally mandated. Invoices for software use will be officially issued by Byte Encoder Pvt. Ltd.

# 7. Limitation of Liability and Service Availability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. While we strive for 99.9% uptime, Byte Encoder shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, revenue, or data—resulting from:

  • Internet outages, load shedding, or hardware failures.
  • Third-party service interruptions or hacking attempts.
  • Misuse of the platform or inaccurate data entry by the User.
# 8. Governing Law and Termination

These Terms are governed by the laws of the Government of Nepal. We reserve the right to suspend or terminate accounts involved in illegal activities, abuse, or failure to pay subscription fees without prior notice.
